Terms of Service

Welcome to Field2Fare. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Field2Fare LLC ("Field2Fare," "we," "our," or "us"). These Terms govern your access to and use of the Field2Fare website, mobile applications, phone intake line, APIs, and associated digital services (collectively, the "Platform").

Eligibility. You must be at least 13 years old to use the Platform. If you are under 18, you may use the Platform only with the involvement and consent of a parent or legal guardian, who agrees to these Terms on your behalf. Producer accounts and paid subscriptions require you to be at least 18 years old or to have such consent.

1. Nature of the Platform & Disclaimer of Endorsement

Field2Fare operates exclusively as a digital venue and discovery engine connecting agricultural producers, artisans, and farm operators ("Producers") with consumers ("Explorers").

• No Control Over Listings: We do not own, manage, inspect, guarantee, or operate any of the physical farm stands, pop-up markets, or products listed on the Platform. Producers are independent entities and are entirely responsible for the accuracy of their listings.
• Community-Sourced Listings: Some stands are added by community members or imported from public sources rather than by the Producer. Listing details, hours, and open/closed status may be outdated or inaccurate. Field2Fare does not guarantee that any stand will be open or stocked when you arrive.
• No Vetting or Quality Assurance: Field2Fare does not verify the safety, quality, organic certification, or legal compliance of the goods sold by Producers. Any transactions, purchases, or interactions occur directly between the Explorer and the Producer offline.
• No Employment Relationship: Producers are not employees, partners, representatives, agents, or joint venturers of Field2Fare.

3. Premium Subscriptions, Billing, & App Stores

Field2Fare offers elevated functionality via "Premium" plans, available as auto-renewing monthly or yearly subscriptions or as a one-time lifetime purchase.

• App Store Billing: All purchases are made through the mobile application and are processed and managed entirely by Apple (App Store) or Google (Play Store), utilizing RevenueCat infrastructure. You will be charged to your respective Apple ID or Google Play account at confirmation of purchase.
• Auto-Renewal: Subscriptions automatically renew unless auto-renew is disabled in your device's account settings at least 24 hours before the end of the current billing cycle.
• Free Trials & Promotional Access: We may offer free trial periods, referral rewards, or other promotional Premium access. Promotional access can be modified or withdrawn at our discretion and does not entitle you to a refund.
• Lifetime & "Founding Member" Access: "Lifetime" and "Founding Member" access means Premium access for as long as the Platform and the Premium offering continue to operate, for the account that made the purchase or received the offer. It is not transferable, does not guarantee any specific feature will remain available, and ends if the account is terminated for violating these Terms.
• Refunds: Because billing is managed exclusively by Apple and Google, Field2Fare does not have the technical ability to issue refunds, prorate cancellations, or directly cancel your subscription. Refund requests must be submitted to Apple or Google under their policies, and you must manage or cancel your subscription through your Apple or Google account settings.

4. User-Generated Content (UGC) & Moderation

You are solely responsible for any photos, reviews, posts, messages, or listing details ("UGC") you upload to the Platform. By uploading UGC, you grant Field2Fare a worldwide, non-exclusive, perpetual, royalty-free, and sublicensable license to utilize, display, distribute, and format that content for the operation and promotion of the Platform. You represent that you own or have the rights to any content you upload and that it does not infringe anyone else's rights.

5. Producer (Seller) Specific Obligations

If you create a Producer profile, claim a farm stand, or update a stand by phone, you additionally warrant and agree that:

• You possess the legal right and authority to represent the agricultural business, pop-up market, or property location you are claiming or updating.
• You maintain all required municipal, state, and federal permits, cottage food licenses, health department certifications, and tax registrations necessary to legally sell your goods to the public.
• You are solely responsible for calculating, collecting, and remitting any applicable local sales taxes on goods sold to Explorers. Field2Fare does not process physical goods transactions or withhold taxes on your behalf.
• Stand claims are reviewed by Field2Fare and may be approved, rejected, or revoked at our discretion, including if another party demonstrates a superior right to the listing.

6. SMS Communications, Phone Intake Line, & Consent

By registering for an account and providing a mobile phone number, you explicitly consent to receive transactional and authentication text messages from Field2Fare (e.g., One-Time Passwords, account security alerts) utilizing our SMS gateway (Twilio). Standard carrier message and data rates apply. You may opt out at any time by replying "STOP" to the message thread. We will never sell your phone number to third parties for marketing purposes.

Phone Intake Line: Field2Fare offers Producers a telephone line answered by an automated assistant for updating stand information. By calling it, you consent to the call being recorded and transcribed by our voice-service providers for the purpose of updating your listing. Information given by phone is applied to listings as heard; you are responsible for confirming your details when the assistant reads them back.

7. App Store & Google Play Specific EULA Terms

If you download the Platform via the Apple App Store or Google Play Store, you acknowledge and agree that:

• These Terms are concluded exclusively between you and Field2Fare LLC, and not with Apple Inc. or Google LLC.
• Apple and Google have no obligation whatsoever to furnish any maintenance or support services with respect to the App.
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple or Google, and they may refund the purchase price (if any) for the App; however, they will have no other warranty obligation whatsoever.
• Apple and Google, and their subsidiaries, are third-party beneficiaries of these Terms, and upon your acceptance, they will have the right to enforce these Terms against you.

8. General Limitation of Liability & Indemnification

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FIELD2FARE LLC, ITS FOUNDERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE PLATFORM. UNDER NO CIRCUMSTANCES WILL FIELD2FARE BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE PLATFORM OR YOUR ACCOUNT. IN NO EVENT SHALL THE TOTAL LIABILITY OF FIELD2FARE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU HAVE PAID FIELD2FARE IN THE PAST SIX MONTHS.

You agree to defend, indemnify, and hold harmless Field2Fare LLC and its affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your UGC, or your offline interactions with any other user of the Platform.

9. Dispute Resolution, Arbitration, & Class Action Waiver

Please read this section carefully, as it affects your legal rights. Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be resolved exclusively by binding, individual arbitration governed by the American Arbitration Association (AAA), rather than in court. Either party may instead bring an individual claim in small-claims court if it qualifies.

Class Action Waiver: You and Field2Fare agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

These Terms shall be governed by the laws of the State of Wisconsin, without regard to its conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Wisconsin. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. We may update these Terms; material changes will be announced in the app or by email, and continued use after the effective date constitutes acceptance.
